Nook 22 — Terms of Use

1 Acceptance of Terms

By downloading, installing, or using Nook 22 ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you and Adam Tansley / XXII AI ("we", "us", or "our").

2 Description of Service

Nook 22 is a personal productivity application that provides:

• Kanban Boards: Visual task management with columns and cards
• Checklists: Simple task lists with progress tracking
• Notes: Rich text notebooks for capturing information
• Pomodoro Timer: Focus timer with session tracking

The App is designed for personal productivity use and stores all data locally on your device.

3 Subscriptions & Payments

Free Trial

Nook 22 offers a 7-day free trial for new users. During the trial, you have full access to all features. If you do not cancel before the trial ends, your subscription will automatically begin.

Subscription Plans

After the trial period, continued use of Nook 22's full features requires an active subscription:

• Monthly: £3.99 per month
• Yearly: £29.99 per year (equivalent to £2.50/month)

Billing

Subscriptions are billed through Apple App Store or Google Play Store, depending on your device. Payment will be charged to your App Store or Play Store account at confirmation of purchase.

Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

Cancellation

You can cancel your subscription at any time through your App Store or Play Store account settings. Cancellation takes effect at the end of the current billing period. You will retain access to subscription features until the end of the period you have paid for.

Refunds

Refund requests are handled by Apple or Google according to their respective refund policies. We do not directly process refunds.

Non-Subscriber Access

Without an active subscription, you can still view your existing content in read-only mode but cannot create new items or edit existing content.

4 Your Content & Data

Ownership

You retain full ownership of all content you create within Nook 22, including your boards, checklists, notes, and any other data. We do not claim any ownership rights over your content.

Local Storage

All your content is stored locally on your device. We do not have access to your data and cannot retrieve it if lost. You are responsible for backing up your data using the in-app export feature.

Data Loss

We are not responsible for any loss of data due to device failure, app uninstallation, or any other cause. We strongly recommend regularly exporting your data using the backup feature.

5 Acceptable Use

You agree to use Nook 22 only for lawful purposes and in accordance with these Terms. You agree not to:

• Attempt to reverse engineer, decompile, or disassemble the App
• Attempt to bypass or circumvent subscription requirements
• Use the App in any way that violates applicable laws or regulations
• Distribute, sublicense, or transfer the App to any third party
• Use the App to infringe on the rights of others

6 Intellectual Property

The App, including its design, features, code, graphics, and branding, is owned by Adam Tansley / XXII AI and is protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.

"Nook 22", the Nook 22 logo, and "XXII AI" are trademarks of Adam Tansley. You may not use these marks without prior written permission.

7 Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• That the App will be uninterrupted, error-free, or secure

We do not warrant that the App will meet your specific requirements or expectations.

8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ADAM TANSLEY / XXII AI BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of data, profits, goodwill, or other intangible losses
• Any damages resulting from your use or inability to use the App
• Any damages resulting from unauthorized access to your data

Our total liability for any claims arising from your use of the App shall not exceed the amount you paid for the App in the 12 months preceding the claim.

9 Termination

You may stop using the App at any time by uninstalling it from your device and cancelling any active subscription.

We reserve the right to terminate or suspend your access to the App at any time, without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or third parties
• Is harmful to us or our business interests

10 Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting a notice within the App
• Updating the "Last Updated" date at the top of these Terms

Your continued use of the App after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue use of the App.

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of England and Wales.
